Acquisition & Exit Advisory

Buy or sell a business with better information.

Market awareness. Financial diligence. Operator perspective. Practical judgment about what a business is worth on both sides of the table.

Legacy Operating Partners helps owners and buyers evaluate opportunities, prepare for transactions, understand risk, and make decisions grounded in how Main Street businesses actually operate.

A Different Perspective

A business is worth what the market will support—and what the economics justify.

Owners naturally think about value from the sell side: what can I reasonably get for the business I built?

Buyers have a different question: what should I pay for these earnings, these assets, this risk, this customer base, this management structure, and this opportunity?

Legacy Operating Partners works from both perspectives. We combine current small-business transaction dynamics with financial analysis, diligence experience, and hands-on operational knowledge to help clients understand where those two views meet.

The goal is not to manufacture a number. It is to understand what makes the business valuable, what makes it risky, and what the market is likely to do with that information.

For Business Owners

Sell-side advisory and Georgia business brokerage.

Sometimes the first question is not “How do I sell?” It is “Is this business actually ready to sell, and what could I realistically get for it?”

Practical Market-Value Assessment

We analyze earnings, assets, customer concentration, owner dependence, recurring revenue, market conditions, financing realities, and other factors that influence what buyers may pay.

Exit Readiness & Preparation

We identify financial and operational issues that may reduce value, complicate diligence, or make the business difficult to transfer—and help ownership address them before going to market.

Georgia Business Brokerage

For qualifying Georgia businesses, brokerage representation can include positioning, confidential marketing, buyer screening, negotiation, transaction coordination, and support through closing.

For Buyers

Buying a business is more than buying last year's earnings.

Financial diligence is a major part of the decision, but the real question is whether those earnings are durable—and what you will actually own after closing.

Legacy Operating Partners can help evaluate the quality of earnings, working-capital needs, customer and vendor concentration, staffing, systems, owner dependence, capital requirements, operational risks, and the assumptions built into the deal.

Diligence

Good deals survive good questions.

Diligence should reduce uncertainty, test the story being told by the numbers, and identify the things that could change the economics of the transaction.

Financial

Revenue, margins, expenses, normalized earnings, cash flow, balance-sheet items, debt, working capital, and historical trends.

Operational

Staffing, owner dependence, processes, systems, vendors, capacity, customer concentration, and transferability.

Risk

Assumptions that may not survive ownership change, deferred costs, concentration risks, unusual dependencies, and other issues affecting value.

Opportunity

Pricing, margin improvement, growth opportunities, cost structure, operational improvements, and realistic upside after closing.

The Process

Start by figuring out what decision actually needs to be made.

01

Understand the objective.

Sell now? Prepare for a future exit? Evaluate a target? Decide whether a deal is worth pursuing?

02

Understand the business.

Review the financials, operating model, market position, risks, dependencies, and what actually drives earnings.

03

Understand the market.

Compare expectations with buyer behavior, transaction economics, financing realities, and the current Main Street market.

04

Execute the right next step.

Prepare, market, negotiate, diligence, structure, close—or decide that the best transaction is no transaction at all.

Where We Work

Georgia brokerage. Broader advisory capability.

Legacy Operating Partners is based in Smyrna, Georgia. Business brokerage services are currently focused on Georgia and are provided subject to applicable licensing and brokerage requirements.

Buy-side diligence, financial analysis, transaction advisory, and exit preparation can be performed more broadly where the engagement makes sense.

For businesses outside the immediate Atlanta region, the work can often be handled remotely, with travel incorporated when in-person involvement materially improves the engagement.

About business value

Legacy Operating Partners provides practical market-value assessments and transaction analysis based on financial performance, operating characteristics, market conditions, and observed transaction dynamics. These services are not represented as a formal certified appraisal or credentialed business valuation when one is legally or contractually required.
